Deals and M&As this week: Solstad Farstad, Africa Energy, Oryx Petroleum Corporation

Solstad Farstad, through its wholly owned subsidiary Solstad Offshore Singapore, has sold Nor Chief, an anchor handling tug supply (AHTS) vessel.

Built in 2008, the Singapore-flagged offshore supply ship has a deadweight tonnage of 2,131t and gross tonnage of 2,705t.

Solstad Farstad is an offshore service and shipping company based in Norway.


Africa Energy
plans to raise $40m by issuing common shares in a private placement.

The Canadian oil and gas company intends to use the proceeds raised to finance the joint venture project costs, drilling, acquisitions and for general corporate purposes.

The company has engaged Pareto Securities as its book-running manager for the transaction.


Oryx Petroleum Corporation
has reached a farm-out agreement with a subsidiary of Total for the sale of a 30% interest in the Haute Mer B deep-water exploration licence in Brazzaville, Congo, for $13.3m.

Oryx is a Canadian oil and gas company, while Total is an integrated oil and gas company based in France.

Oryx Petroleum plans to focus more on its core licence areas following the interest sale, while the transaction will help Total to expand its oil and gas asset base.


Jagged Peak Energy
has agreed to raise $400m in a private placement of senior unsecured notes due in 2026.

Initiated by Jagged Peak Energy, a wholly owned subsidiary of Jagged Peak Energy, the notes issued under the placement will be subscribed to by qualified institutional buyers.

The proceeds from the placement will be used to clear debts and for general corporate purposes.


PTT Exploration and Production Public
(PTTEP) and Total E&P Thailand plan to increase their stake in the Bongkot gas field by acquiring additional interest in an auction held by the Government of Thailand.

The auction is expected to be conducted in November and December 2018.

Located within blocks B15, B16, B17 and G12/48, the Bongkot gas field extends over an area of 3,238.5km².

Both companies anticipate to further expand their oil and gas assets base in Thailand through the stake purchase.

PTTEP is an oil and gas company based in Thailand, while Total E&P Thailand Energia is an integrated oil and gas company that is a subsidiary of Total.


Chevron Corporation
plans to increase its stake in the Erawan field located in the Gulf of Thailand. The additional interest acquisition will be made under an auction by the Government of Thailand, to be held in November and December this year.

The US-based integrated energy company is currently operating the field, the licence for which will expire in four years.


McDermott’s board has rejected Subsea 7’s takeover offer stating that it was unfavourable to the company and to its shareholders.

Subsea 7 proposed to acquire the entire issued share capital of McDermott International in a takeover bid.

The proposal was to buy common stock of McDermott for a consideration of $7 a share, entirely payable in cash or up to 50% in Subsea 7 stock and the remaining amount in cash.

McDermott plans to complete the merger agreement with Chicago Bridge & Iron (CB&I) in May 2018, as entered in December 2017.

Subsea 7 is an engineering and construction services firm, while McDermott is engaged in providing engineering, procurement, construction and installation (EPCI), front-end engineering and design, and module fabrication services for upstream field developments.


DeepOcean
has acquired Delta SubSea, a US-based provider of inspection, maintenance and repair (IMR) and light construction services.

DeepOcean plans to expand its business operations from the Mexican segment to the US segment in the Gulf of Mexico, through the transaction.

Based in the Netherlands, the acquirer company is a subsea services provider, while the target company owns and operates remote operated vehicles (ROVs) from its operating base in Montgomery, Texas, US.
